We strongly recommend using reagent testing kits from reputable harm reduction organizations such as DanceSafe or Bunk Police. Pada is not responsible for any harm resulting from adulterated, misidentified, or impure substances.

10.6 Emergency Services

Our Products are not a substitute for emergency medical care. If you or someone you are with experiences a medical emergency, call 911 or your local emergency services immediately.


Section 11 — Assumption of Risk

11.1 Inherent Risks Acknowledged

You acknowledge and understand that:

  • The use of psychoactive substances, whether legal or illegal, carries inherent risks including but not limited to: psychological distress, anxiety, panic attacks, paranoia, psychotic episodes, hallucinogen persisting perception disorder (HPPD), exacerbation of mental health conditions, serotonin syndrome, cardiovascular events, seizures, physical harm, injury, and death
  • Individual reactions to substances vary widely and are unpredictable
  • "Set and setting" and preparation cannot eliminate risks associated with substance use
  • Even with thorough preparation, difficult, traumatic, or harmful experiences may occur
  • Our Products cannot guarantee safety, positive outcomes, or the prevention of adverse events
  • Long-term psychological effects may occur that are not immediately apparent

11.2 Voluntary Assumption of Risk

BY PURCHASING AND USING OUR PRODUCTS, YOU VOLUNTARILY ASSUME ALL RISKS, KNOWN AND UNKNOWN, FORESEEN AND UNFORESEEN, ASSOCIATED WITH:

  • The use of any psychoactive substances, regardless of legal status
  • Following any information, protocols, checklists, or guidance contained in our Products
  • Any decisions you make based on our educational content
  • Any physical, psychological, emotional, spiritual, or other experiences that may result
  • Any interactions between substances and medications, supplements, foods, or health conditions
  • Any actions taken before, during, or after any experience

11.3 Your Sole Responsibility

You acknowledge that you are solely responsible for:

  • Determining whether substance use is appropriate for you based on your individual circumstances
  • Consulting with qualified medical and mental health professionals before any substance use
  • Screening for all contraindications, including medications, health conditions, and mental health history
  • Testing any substances for purity, identity, and dosage
  • Ensuring a safe physical environment and appropriate support system
  • Arranging for a sober trip sitter or support person if needed
  • Having emergency plans and contacts in place
  • All decisions and actions you take before, during, and after any experience
  • Complying with all applicable laws in your jurisdiction

Section 12 — Release and Waiver of Claims

12.1 Release of Claims

BY PURCHASING AND USING OUR PRODUCTS, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Pada, its owners, officers, directors, employees, agents, affiliates, partners, contractors, successors, and assigns (collectively, "Released Parties") from any and all claims, demands, actions, causes of action, damages, losses, costs, expenses, and liabilities of any kind whatsoever, whether known or unknown, suspected or unsuspected, anticipated or unanticipated, arising from or related to:

  • Your use of our Products, website, or Services
  • Any experiences resulting from substance use, whether or not related to our Products
  • Any physical, psychological, emotional, spiritual, or other harm
  • Any decisions or actions taken based on our content or guidance
  • Any adverse reactions, bad trips, difficult experiences, or negative outcomes
  • Any long-term effects or delayed consequences
  • Any interactions with substances, medications, or health conditions
  • Any emergency situations or need for medical intervention

12.2 Waiver of Unknown Claims

You expressly waive and relinquish any and all rights and benefits under any statute or common law principle in any jurisdiction that would otherwise limit the scope of this release to claims known or suspected to exist at the time of agreeing to these Terms.

This includes, but is not limited to, California Civil Code Section 1542, which provides:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You acknowledge that you may hereafter discover facts different from or in addition to those you now know or believe to be true regarding the subject matter of this release, and you agree that this release shall remain in full force and effect in all respects regardless of any such discoveries.

12.3 Covenant Not to Sue

You covenant and agree that you will not bring any claim, lawsuit, arbitration, or other legal proceeding against the Released Parties arising from or related to your use of our Products or any substance use, and that this covenant may be raised as a complete bar to any such action.


Section 13 — Limitation of Liability

13.1 No Liability for Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PADA, INCLUDING ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, CONTRACTORS, AND SUPPLIERS, SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, exemplary, or punitive damages
  • Personal injury, bodily harm, physical injury, or death
  • Psychological, emotional, mental, or spiritual distress or harm
  • Medical or psychiatric treatment costs
  • Lost income, profits, business opportunities, or earning capacity
  • Property damage
  • Loss of data or privacy breaches
  • Any other damages or losses of any kind whatsoever

ARISING FROM OR RELATED TO:

  • Your use of or inability to use our Products, website, or Services
  • Any information, guidance, protocols, or content in our Products
  • Any decisions or actions you take based on our Products
  • Any substances you choose to use, regardless of source or legality
  • Any experiences, positive or negative, that you may have
  • Your reliance on any information we provide
  • Any errors, omissions, inaccuracies, or outdated information in our content
  • Any third-party content, links, products, or resources
  • Any unauthorized access to or alteration of your data
  • Any conduct of third parties

13.2 Maximum Liability Cap

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS, OUR PRODUCTS, OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT YOU ACTUALLY PAID TO PADA FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

13.3 Essential Purpose

You acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and Pada. Pada would not provide the Products without these limitations.

13.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Pada and its owners, officers, directors, employees, agents, affiliates, partners, contractors, licensors, successors, and assigns from and against any and all claims, demands, actions, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:

  • Your use of our Products, website, or Services
  • Your breach of these Terms of Service
  • Your violation of any applicable law, regulation, or third-party rights
  • Your use of any substances
  • Any claim by a third party related to your actions or substance use
  • Any claim that your actions caused harm to any person, including yourself
  • Your negligence or willful misconduct

This indemnification obligation shall survive the termination of these Terms and your use of our Services.


Section 15 — No Endorsement of Substance Use and Regulatory Compliance

15.1 No Endorsement of Substance Use

Pada does not provide, supply, endorse, encourage, or recommend the use of any controlled substances. Our Journey Kits are designed solely to provide educational information about harm reduction, preparation, and integration practices. Any use of controlled substances is solely your responsibility and must comply with all applicable laws.

15.2 Regulatory Compliance

It is your sole responsibility to ensure that your use of our Journey Kits, including any accompanying practices or substances, complies with all applicable local, state, federal, and international laws. Pada does not assume any liability for any actions that may be unlawful in your jurisdiction.

15.3 No Legal Advice

We do not provide legal advice regarding controlled substances or their use. Laws vary by jurisdiction and change frequently. You should consult with a qualified attorney if you have questions about the legality of any substances or activities.


Section 16 — Prohibited Uses

In addition to other prohibitions as set forth in these Terms of Service, you are prohibited from using the site or its content for any unlawful purpose, including but not limited to:

(b) violating any international, federal, state, or local laws or regulations;

(c) infringing upon our intellectual property rights or the intellectual property rights of others;

(f) collecting personal information of others without consent;

(g) using our Products to facilitate illegal drug distribution or trafficking;

(h) providing our Products to minors;

Section 21 — Dispute Resolution and Arbitration

21.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at hello@pada.place and attempt to resolve any dispute informally for at least thirty (30) days.

21.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising from or relating to these Terms, our Products, our website, or your use of our Services that cannot be resolved informally shall be resolved through binding individual arbitration rather than in court, except that:

(a) You may assert claims in small claims court if your claims qualify; and

(b) Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights.

21.3 Arbitration Procedures

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association ("AAA") Consumer Arbitration Rules. The arbitration shall take place in Portland, Oregon, unless you and Pada agree to a different location or to conduct the arbitration by phone, video conference, or based on written submissions.

The arbitrator shall have exclusive authority to resolve all disputes, including the arbitrability of any claim. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

21.4 Class Action Waiver

YOU AND PADA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

You expressly waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against Pada. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void, and all disputes shall be resolved in court.

21.5 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to hello@pada.place within thirty (30) days of your first purchase, stating your name, email address, and clear intent to opt out of arbitration. If you opt out, you and Pada may still seek to resolve disputes informally, and both parties retain the right to pursue claims in court.

21.6 Time Limitation on Claims

Any claim or cause of action arising from or related to these Terms, our Products, or your use of our Services must be filed within one (1) year after the claim arose, or it shall be permanently barred. This limitation applies regardless of whether you knew or should have known of the claim.

21.7 Survival

This arbitration agreement shall survive termination of these Terms and your use of our Services.


Section 22 — Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles.

Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to personal jurisdiction in such courts.

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes, including but not limited to the Assumption of Risk, Release and Waiver, Limitation of Liability, Indemnification, and Arbitration provisions.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our website.

If, in our sole judgment, you fail or we suspect that you have failed to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. We also reserve the right to deny you access to our Services (or any part thereof).
